Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the Moonshot Foundry website at moonshotfoundry.com (the “Site”) and any related services offered by Moonshot Foundry (“we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you must not use the Site.

Description of Services

Moonshot Foundry is a venture studio that builds, funds, and scales insurance businesses. Through our Site, we provide information about:

• The Moonshot Foundry program and LaunchPad process
• The Sherpa mentorship model
• Our ecosystem of technology and insurance services
• Investment opportunities and portfolio companies
• Application and contact pathways for prospective entrepreneurs and partners

The Site is informational in nature. Formal business relationships, investments, and venture partnerships are governed by separate agreements negotiated and executed independently of these Terms.

Eligibility

You must be at least 18 years of age to use the Site. By using the Site, you represent and warrant that you meet this eligibility requirement.

Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, images, trademarks, service marks, and software, is the property of Moonshot Foundry or its licensors and is protected by applicable intellectual property laws.

You may not, without our prior written consent:

• Reproduce, distribute, modify, or create derivative works of any Site content
• Use any Moonshot Foundry trademarks, logos, or branding for any purpose
• Frame, mirror, or otherwise incorporate any portion of the Site into another website or service

The Moonshot Foundry name, logo, “LaunchPad Process,” “Sherpa” (as used in the context of our mentorship program), and related marks are trademarks of Moonshot Foundry. The insurEco, BindDesk, PolicyPay, and InsureCap names and marks are trademarks of their respective owners within the Moonshot ecosystem.

Applications and Submissions

When you submit an application to the Foundry, express interest in the Sherpa Program, or provide information through our contact forms, you acknowledge that:

• Submission of an application does not guarantee acceptance into any program
• We may retain your information for evaluation and future consideration
• Any business ideas, concepts, or plans you share are provided at your own discretion and risk
• Formal confidentiality protections are established through separate non-disclosure agreements, not through these Terms

We encourage prospective applicants to request a mutual non-disclosure agreement before sharing sensitive proprietary information.

No Investment Advice

Nothing on the Site constitutes investment advice, a solicitation to invest, or an offer to sell securities. Any information regarding investment opportunities, portfolio performance, or financial projections is provided for informational purposes only and should not be relied upon as a basis for investment decisions.

Prospective investors should conduct their own due diligence and consult with qualified financial, legal, and tax advisors before making any investment decisions. All investments involve risk, including the potential loss of principal.

No Insurance Advice

The Site provides general information about insurance industry opportunities and our platform capabilities. Nothing on the Site constitutes insurance advice, an offer of insurance coverage, or a recommendation of any specific insurance product. Insurance products referenced on the Site are offered through appropriately licensed entities within the Moonshot ecosystem.

User Conduct

When using the Site, you agree not to:

• Violate any applicable law, regulation, or these Terms
• Provide false, misleading, or inaccurate information in applications or communications
• Attempt to gain unauthorized access to any portion of the Site or its systems
• Use automated systems (bots, scrapers) to access or collect data from the Site

The Site may contain links to third-party websites and services, including scheduling platforms (Calendly), social media, and ecosystem partner sites. THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components. We make no guarantees regarding the accuracy, completeness, or timeliness of any information on the Site, including portfolio performance data, market statistics, or program descriptions.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOONSHOT FOUNDRY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SITE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claims arising from or related to these Terms or your use of the Site shall not exceed one hundred dollars ($100).

Indemnification

You agree to indemnify, defend, and hold harmless Moonshot Foundry and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Site, violation of these Terms, or infringement of any third-party rights.

Confidentiality

Any proprietary or confidential information shared between parties in connection with the Foundry program, Sherpa partnerships, or investment discussions is governed by separate confidentiality agreements. These Terms do not establish any confidentiality obligations beyond what is required by applicable law.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Site shall be resolved in the state or federal courts located in San Diego County, California.

Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Site with an updated “Last updated” date. Your continued use of the Site after any modifications constitutes acceptance of the revised Terms.

Termination

We reserve the right to restrict or terminate your access to the Site at our sole discretion, without notice, for any reason, including violation of these Terms. Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) shall survive.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
